Terms that govern COZ services

Please read these Terms carefully before accessing or using COZ websites, applications, software, documentation, products, interfaces, services, content, or related offerings.

Additional Terms and Product-Specific Terms

Certain Services may be subject to additional terms, product-specific terms, open-source licenses, app-store terms, documentation terms, order forms, statements of work, or other written agreements (collectively, “Additional Terms”). If Additional Terms apply, they are incorporated into these Terms by reference.

If there is a conflict between these Terms and any Additional Terms, the Additional Terms will control only for the specific Service or transaction to which they apply, unless the Additional Terms state otherwise.

If product-specific terms apply to a Service, those terms will be presented with, linked from, or otherwise made available through the applicable Service. Until product-specific terms are published or otherwise provided, these Terms govern your use of the applicable Service subject to any separate written agreement or open-source license that applies.

Privacy Policy

Please review our Privacy Policy, available at /privacy-policy, for information about how we collect, use, disclose, and otherwise process information.

By using the Services, you acknowledge that you have reviewed the Privacy Policy. The Privacy Policy is incorporated into these Terms to the extent permitted by applicable law.

Changes to These Terms or the Services

We may update these Terms from time to time. If we make changes, we may notify you by posting the updated Terms on our website, providing notice through the Services, or using another reasonable method. Unless otherwise stated, updated Terms are effective when posted.

Your continued use of the Services after updated Terms become effective means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.

We may modify, suspend, restrict, or discontinue all or part of the Services at any time, with or without notice, subject to applicable law and any written agreement that expressly provides otherwise.

Eligibility

You may use the Services only if you:

  1. are at least 18 years old or the age of majority in your jurisdiction, whichever is higher;
  2. have the legal capacity and authority to enter into these Terms;
  3. are not barred from using the Services under applicable law;
  4. are not located in, organized in, resident in, or ordinarily operating from any jurisdiction where your use of the Services would be unlawful;
  5. are not subject to sanctions or listed on any restricted-party list maintained by the United States, the United Nations, the European Union, the United Kingdom, or any other applicable governmental authority; and
  6. will not use the Services for the benefit of any person or entity that is prohibited from using the Services.

If you use the Services on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and references to “you” include that entity.

Description of the Services

COZ develops and makes available software, tools, interfaces, documentation, product experiences, and related services for blockchain and Web3 ecosystems. The Services may include, without limitation:

  • self-custodial wallet software and wallet-related interfaces;
  • blockchain transaction, signing, and asset-management interfaces;
  • developer tools, SDKs, libraries, documentation, and integrations;
  • interfaces, links, embedded flows, application programming interfaces, or other integration points that may help you access or engage with Third-Party Services;
  • websites, content, case studies, media, and educational materials;
  • product experiences, event activations, claim flows, and reward-related experiences;
  • physical-digital trust, verification, authenticity, or lifecycle-management experiences;
  • consulting, design, advisory, technical, and professional services, where separately agreed; and
  • other functionality that we may offer from time to time.

The Services may evolve over time. We do not guarantee that any particular Service, feature, network, asset, integration, documentation page, or interface will remain available.

Self-Custody and Blockchain Responsibility

Some Services, including Neon Wallet, are designed for self-custody and blockchain interaction.

Unless we expressly state otherwise in a written agreement:

  1. COZ does not custody, hold, or control your digital assets.
  2. COZ does not control your private keys, recovery phrases, passkeys, passwords, devices, wallets, or accounts.
  3. COZ cannot recover your private keys, recovery phrases, wallets, or digital assets if they are lost, stolen, compromised, or inaccessible.
  4. COZ cannot reverse, cancel, refund, or modify blockchain transactions after they are submitted to or confirmed by a blockchain network.
  5. You are solely responsible for reviewing and authorizing wallet connection requests, signature requests, approvals, permissions, spending limits, contract interactions, transaction previews, and transactions before signing, approving, connecting, or submitting them.
  6. Transaction previews, labels, warnings, simulations, token metadata, balances, prices, permissions, and other information displayed through the Services may be incomplete, delayed, inaccurate, unavailable, or misunderstood. Connecting a wallet or signing a message may have consequences even if no asset transfer is immediately visible.
  7. You are solely responsible for the security of your devices, credentials, wallets, networks, software, and backups.

You should never share your private key, recovery phrase, seed phrase, or equivalent secret credential with anyone. COZ will never ask you to provide your private key or recovery phrase.

Digital Asset and Blockchain Risks

You acknowledge and accept the risks associated with digital assets, blockchain networks, cryptographic systems, and self-custody. These risks include, without limitation:

  • loss or compromise of private keys, recovery phrases, passkeys, devices, or credentials;
  • irreversible transactions;
  • failed, delayed, pending, reverted, or misdirected transactions;
  • network congestion, outages, forks, reorgs, validator/miner behavior, or protocol changes;
  • smart contract bugs, vulnerabilities, exploits, or design failures;
  • malicious, fraudulent, or defective tokens, dApps, contracts, bridges, marketplaces, protocols, or websites;
  • phishing, spoofing, malware, malicious browser extensions, fake applications, or social engineering;
  • inaccurate, incomplete, delayed, or manipulated information, including balances, token metadata, prices, quotes, contract labels, risk warnings, transaction simulations, permission displays, or transaction previews;
  • volatility, illiquidity, loss of market value, or total loss of digital assets;
  • regulatory uncertainty or changes in law;
  • taxes, reporting obligations, or legal consequences arising from your transactions;
  • unsupported networks, unsupported assets, incompatible tokens, or mistaken transfers; and
  • third-party service failures or misconduct;
  • maximal extractable value, slippage, failed swaps, bridge failures, liquidity limitations, route-provider failures, and execution differences between quoted and final transaction results; and
  • risks associated with delegated permissions, approvals, account abstractions, smart-contract wallets, recovery systems, session keys, or similar features if made available through any Service.

You are solely responsible for understanding and accepting these risks before using the Services.

Transactions, Fees, and Supported Assets

Blockchain transactions may require network fees, gas fees, validator fees, protocol fees, liquidity-provider fees, bridge fees, swap fees, service fees, or other charges. These fees may be imposed by blockchain networks, third-party providers, smart contracts, liquidity providers, or COZ, depending on the Service.

Fees may be non-refundable, including where a transaction fails, reverts, remains pending, or does not produce the result you expected.

Any supported network, asset, token, protocol, dApp, bridge, swap route, or integration may be added, removed, limited, suspended, or changed at any time. Attempting to send, receive, hold, bridge, swap, or otherwise interact with unsupported or incompatible assets, addresses, contracts, or networks may result in permanent loss.

COZ does not guarantee the accuracy, availability, execution, settlement, liquidity, price, route, timing, simulation, preview, or outcome of any transaction, quote, approval, permission, bridge, swap, or contract interaction.

Third-Party Services and Integrations

The Services may allow you to access, view, connect to, or interact with third-party websites, applications, wallets, dApps, protocols, smart contracts, APIs, bridges, swaps, exchanges, liquidity providers, market makers, payment providers, identity or verification providers, data providers, app stores, browser-extension stores, blockchain networks, or other third-party products or services (collectively, “Third-Party Services”).

Third-Party Services are provided by third parties, not COZ, unless we expressly state otherwise. COZ may make Third-Party Services easier to discover, access, initiate, or use through links, embedded flows, interface elements, APIs, routing, referrals, integrations, or other product experiences. Unless we expressly state otherwise in a written agreement, COZ only facilitates your engagement with those Third-Party Services and does not control, operate, provide, custody, process, underwrite, guarantee, or assume responsibility for them.

Your use of Third-Party Services may be subject to separate terms, privacy policies, eligibility requirements, identity-verification processes, compliance checks, geographic restrictions, transaction limits, fees, refund policies, dispute procedures, and risks imposed by the applicable provider. You are solely responsible for reviewing, understanding, and accepting those provider terms, policies, fees, requirements, and risks before using the Third-Party Service. If you do not agree to a provider’s terms or requirements, you should not use that Third-Party Service.

Third-Party Service providers are responsible for the services they provide, including their own onboarding, identity verification, know-your-customer checks, anti-money-laundering controls, sanctions screening, fraud monitoring, transaction approval or rejection, pricing, quotes, execution, settlement, delivery, refunds, chargebacks, customer support, regulatory obligations, and legal compliance, as applicable to their services. COZ is not responsible for performing those provider obligations unless COZ expressly agrees otherwise in a separate written agreement.

When you use or attempt to use a Third-Party Service through the Services, COZ may receive, display, transmit, route, or process information related to that interaction as reasonably necessary to enable the integration, operate the Services, provide support, prevent abuse, comply with law, or improve our products, subject to our Privacy Policy and any applicable provider terms or privacy policy. Third-Party Service providers may separately collect, use, retain, and disclose information according to their own terms and privacy policies.

COZ is not responsible for any loss, damage, delay, error, misrepresentation, exploit, hack, insolvency, illegality, misconduct, rejected transaction, failed verification, account closure, chargeback, refund denial, pricing discrepancy, settlement failure, delivery failure, support failure, compliance decision, or other act or omission of any Third-Party Service or provider.

No Financial, Investment, Legal, Tax, or Other Professional Advice

The Services are provided for informational, technical, software, product, and user-interface purposes only. COZ does not provide financial, investment, legal, tax, accounting, trading, securities, commodities, or other professional advice through the Services.

Nothing in the Services is a recommendation, solicitation, offer, endorsement, investment strategy, legal opinion, tax advice, or instruction to buy, sell, hold, stake, lend, borrow, bridge, swap, mint, redeem, transfer, vote, or otherwise interact with any digital asset, security, commodity, protocol, dApp, network, or transaction.

You are solely responsible for your own decisions and should consult qualified advisors where appropriate.

COZ is not your broker, dealer, exchange, bank, custodian, investment adviser, financial adviser, commodity trading adviser, fiduciary, agent, or trustee.

User Responsibilities

You agree that you will:

  1. comply with all applicable laws, regulations, sanctions rules, tax obligations, and reporting obligations;
  2. use the Services only for lawful purposes;
  3. maintain the security of your devices, wallets, credentials, accounts, and backups;
  4. independently verify transaction details before signing or submitting transactions;
  5. independently evaluate any dApp, smart contract, token, network, protocol, bridge, integration, or Third-Party Service before using it;
  6. review and accept any applicable third-party provider terms, privacy policies, eligibility requirements, compliance checks, fees, limits, refund policies, and support procedures before using a Third-Party Service;
  7. promptly install security updates and use only official or trusted software sources;
  8. not impersonate any person or entity or misrepresent your affiliation with COZ;
  9. not interfere with, disrupt, overload, reverse engineer, scrape, exploit, or misuse the Services except as expressly permitted by applicable open-source licenses or law; and
  10. not use the Services in a way that harms COZ, other users, blockchain networks, or third parties.

Prohibited Use

You may not use the Services to engage in, facilitate, support, or attempt any of the following:

  • unlawful, fraudulent, deceptive, abusive, or malicious activity;
  • money laundering, terrorist financing, sanctions evasion, export-control violations, or other financial crime;
  • transactions involving stolen funds, ransomware, malware, phishing, scams, hacks, exploits, or unauthorized access;
  • market manipulation, wash trading, spoofing, front-running, pump-and-dump schemes, or other unfair or deceptive trading practices;
  • sale, purchase, or transfer of illegal goods or services;
  • infringement, misappropriation, or violation of intellectual-property, privacy, publicity, or other rights;
  • harassment, threats, hate, abuse, or activity that endangers others;
  • interference with the Services, including denial-of-service attacks, scraping, crawling, automated abuse, or bypassing technical limitations;
  • use from or for the benefit of restricted jurisdictions, sanctioned persons, or prohibited parties;
  • circumvention of compliance, identity-verification, sanctions-screening, fraud-prevention, geoblocking, access-control, transaction-limit, or security measures; or
  • any activity that COZ reasonably believes exposes COZ, users, or third parties to legal, security, financial, or reputational risk.

We may restrict, suspend, block, or terminate access to COZ-controlled Services if we believe you have violated these Terms, if required by law, or if we reasonably believe your activity creates risk.

Because certain blockchain networks are decentralized and self-custodial, COZ may not be able to prevent all blockchain-level activity. However, COZ may restrict access to websites, interfaces, APIs, hosted infrastructure, support channels, or other COZ-controlled Services.

Accounts, Communications, and Support

Some Services may require account creation, wallet connection, email submission, form submission, or other interaction. You agree to provide accurate information and keep it current where applicable.

You are responsible for all activity associated with your accounts, devices, wallets, credentials, and wallet connections.

COZ support, if provided, is informational only. COZ support will never ask for your private key, recovery phrase, seed phrase, or equivalent secret credential. You are responsible for verifying that you are interacting with official COZ support channels.

If an issue relates to a Third-Party Service, including identity verification, eligibility, fees, limits, quotes, pricing, execution, settlement, delivery, refunds, chargebacks, account restrictions, compliance review, or provider support, the applicable provider is responsible for handling that issue under its own terms and policies. COZ may help route information or direct you to the relevant provider support channel, but COZ does not control the provider’s decision, timing, resolution, or support outcome.

COZ is not responsible for losses caused by impersonators, fake support representatives, phishing, social engineering, malicious links, fake downloads, unofficial communities, or third-party provider support failures.

Intellectual Property

The Services, including websites, software, user interfaces, designs, text, graphics, logos, trademarks, service marks, documentation, content, and other materials, are owned by COZ or its licensors and are protected by intellectual-property and other laws.

Subject to your compliance with these Terms, COZ grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for their intended purposes.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, disassemble, scrape, or create derivative works from the Services except as expressly permitted by these Terms, applicable law, or an applicable open-source license.

Nothing in these Terms transfers ownership of COZ intellectual property to you. You may not use COZ names, marks, logos, trade dress, or branding without prior written permission.

Open-source software

Some COZ software, libraries, tools, or components may be made available under separate open-source licenses. Where an open-source license applies, that license governs your use of the applicable code to the extent it conflicts with these Terms.

User Content and Feedback

If you submit, upload, transmit, publish, or otherwise provide content, feedback, ideas, suggestions, data, files, comments, issue reports, pull requests, form submissions, or other materials to COZ or through the Services (“User Content”), you represent and warrant that you have all rights necessary to do so and that your User Content does not violate law or third-party rights.

You retain ownership of your User Content, subject to any rights granted under applicable open-source licenses or other written terms.

You grant COZ a worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable license to host, store, reproduce, use, display, perform, modify, adapt, publish, distribute, and otherwise process your User Content as reasonably necessary to provide, operate, improve, secure, promote, and enforce the Services. COZ will process personal information contained in User Content according to the Privacy Policy. Where User Content is submitted privately for support, security, business, or operational purposes, COZ will use it for those purposes and related Service operations unless you separately authorize public or promotional use or the content is otherwise made public by you.

If you provide feedback, ideas, or suggestions, you agree that COZ may use them without restriction or compensation to you.

Professional Services

Any advisory, design, technical consultancy, event activation, development, integration, or other professional services provided by COZ are subject to a separate written agreement, statement of work, order form, or proposal accepted by COZ.

If no separate written agreement applies, COZ may decline, suspend, or discontinue professional services at any time.

App Stores, Browser Stores, and Platform Providers

Some Services may be distributed through third-party app stores, browser-extension stores, operating systems, device platforms, or other distribution channels. Those providers may impose separate terms and may control availability, updates, reviews, installation, permissions, refunds, or removal.

COZ is not responsible for third-party platform availability, approval, delay, removal, policy changes, device compatibility, or store-provider conduct.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

COZ DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, SECURITY, ACCURACY, RELIABILITY, AND ERROR-FREE OR UNINTERRUPTED OPERATION.

COZ DOES NOT WARRANT THAT:

  1. THE SERVICES WILL BE SECURE, AVAILABLE, UNINTERRUPTED, OR ERROR-FREE;
  2. DEFECTS OR ERRORS WILL BE CORRECTED;
  3. INFORMATION DISPLAYED THROUGH THE SERVICES WILL BE ACCURATE, COMPLETE, CURRENT, OR RELIABLE;
  4. TRANSACTIONS WILL BE CONFIRMED, EXECUTED, SETTLED, OR SUCCESSFUL;
  5. ANY DIGITAL ASSET, NETWORK, DAPP, SMART CONTRACT, THIRD-PARTY SERVICE, OR INTEGRATION WILL BE SAFE, LEGAL, AVAILABLE, OR SUITABLE; OR
  6. THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COZ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, USE, DIGITAL ASSETS, PRIVATE KEYS, RECOVERY PHRASES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF COZ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COZ’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO COZ FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE THREE MONTHS BEFORE THE CLAIM AROSE; OR (B) US$100.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless COZ and its officers, directors, employees, contractors, agents, affiliates, licensors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  1. your access to or use of the Services;
  2. your violation of these Terms;
  3. your violation of applicable law or third-party rights;
  4. your User Content;
  5. your digital asset transactions or wallet activity;
  6. your use of Third-Party Services, including your failure to comply with provider terms, policies, eligibility requirements, compliance checks, fees, limits, refund policies, dispute procedures, or applicable law; or
  7. your fraud, misconduct, negligence, or misuse of the Services.

COZ reserves the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.

Suspension and Termination

We may suspend, restrict, or terminate your access to any COZ-controlled Service at any time, with or without notice, if:

  • you violate these Terms;
  • we believe your use creates legal, security, financial, operational, or reputational risk;
  • required by law, subpoena, court order, regulator, or law-enforcement request;
  • required by a third-party platform, infrastructure provider, integration provider, compliance provider, or service provider;
  • we discontinue or modify a Service; or
  • we otherwise determine suspension or termination is appropriate.

Upon termination, your right to access and use the affected Services will cease immediately, but provisions that by their nature should survive will survive, including provisions regarding self-custody responsibility, risk disclosures, ownership, disclaimers, limitations of liability, indemnification, dispute resolution, and general terms.

Export Controls and Sanctions Compliance

You agree to comply with all applicable export-control, sanctions, anti-money-laundering, counter-terrorism-financing, anti-corruption, consumer-protection, tax, reporting, and other laws and regulations that apply to your use of the Services or any Third-Party Service.

You represent and warrant that you are not located in, organized under the laws of, ordinarily resident in, or acting on behalf of any jurisdiction, person, or entity subject to sanctions or restrictions that would make your use of the Services or any Third-Party Service unlawful.

You may not use the Services to evade sanctions, export controls, identity-verification requirements, compliance controls, geographic restrictions, transaction limits, or other legal or provider-imposed restrictions. Third-Party Service providers are responsible for their own compliance programs and may approve, reject, suspend, limit, delay, or reverse access to their services according to their terms, policies, legal obligations, and risk controls.

Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Services will be governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except to the extent preempted by federal law or otherwise required by applicable law.

Dispute Resolution; Venue

Before filing a claim, you and COZ agree to try to resolve any dispute informally by contacting the other party and providing a reasonable description of the dispute and requested resolution.

Any legal action or proceeding arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Delaware, and you and COZ consent to personal jurisdiction and venue in those courts, except where applicable law requires otherwise.

You and COZ waive any right to a jury trial to the maximum extent permitted by law.

These Terms do not include a binding arbitration or class-action waiver provision unless and until COZ publishes or provides terms containing such a provision after appropriate review and approval.

General Terms

These Terms, together with any Additional Terms, constitute the entire agreement between you and COZ regarding the Services, except where a separate written agreement expressly applies.

If any provision of these Terms is found unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.

You may not assign these Terms without our prior written consent. COZ may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, change of control, or by operation of law.

Our failure to enforce any provision is not a waiver of our right to do so later.
